Responsibilities:<\/p>\n
Regulatory Compliance & Liaison<\/p>\n
\tAct as the designated Compliance Officer\u00a0in accordance with\u00a0the requirements of the Capital Markets Authority (CMA) Regulations.\u00a0
\n\tServe as the primary liaison with regulators including the Capital Markets Authority and the Office of the Data Protection Commissioner.\u00a0
\n\tCoordinate regulatory filings, statutory returns, disclosures, and incident reporting.\u00a0
\n\tMonitor and\u00a0advise\u00a0management on regulatory developments affecting fund management operations.\u00a0<\/p>\n
Enterprise Risk Management (ERM)<\/p>\n
\tDevelop, implement, and\u00a0maintain\u00a0the firm\u2019s Enterprise Risk Management framework aligned with\u00a0global best practices.\u00a0
\n\tIdentify, assess, and\u00a0monitor\u00a0key risks\u00a0across the\u00a0organization.\u00a0
\n\tMaintain a comprehensive Risk Register and report key risk indicators (KRIs) to Senior Management\u00a0
\n\tOversee Business Continuity Planning (BCP) and disaster recovery readiness\u00a0\u00a0<\/p>\n
Compliance Monitoring & Testing\u00a0<\/p>\n
\tDevelop and implement a Compliance Monitoring Plan approved by the Board.\u00a0\u00a0
\n\tConduct periodic compliance reviews across:\u00a0
\n\tPortfolio management activities\u00a0
\n\tMarketing materials\u00a0
\n\tFund disclosures\u00a0
\n\tInvestor onboarding processes\u00a0
\n\tMonitor\u00a0and ensure compliance with all the policies of the company\u00a0
\n\tReport breaches and recommend corrective actions\u00a0
\n\tDevelop and deliver periodic\u00a0compliance related\u00a0trainings\u00a0<\/p>\n
Contractual & Legal Risk Management<\/p>\n
\tReview and manage key agreements including:
\n\tInvestment management agreements\u00a0
\n\tCustodian\u00a0and Trustee\u00a0agreements\u00a0
\n\tVendor contracts\u00a0
\n\tOversee litigation management, including coordination with external counsel, litigation\u00a0processes\u00a0and reporting.\u00a0\u00a0<\/p>\n
Governance & Board Reporting<\/p>\n
\tSupport the Company Secretary\u00a0with board administration\u00a0and\u00a0board\u00a0\u00a0governance\u00a0matters,\u00a0including\u00a0convening of meetings and other relevant matters.\u00a0<\/p>\n
Qualifications<\/p>\n
\tBachelor\u2019s degree in\u00a0Law\u00a0(LL.B), Social Sciences,\u00a0or Statistics. A\u00a0Master\u2019s\u00a0degree\u00a0or professional\u00a0certifications in corporate\/commercial law\u00a0or data protection such as CIPP\/E is an added advantage.\u00a0\u00a0
\n\tProfessional certifications in corporate governance,\u00a0compliance\u00a0or data protection (e.g.\u00a0ICS, ICPAK) is highly desirable.\u00a0\u00a0
\n\tMinimum of\u00a02\u00a0years\u2019 experience\u00a0in risk and compliance in\u00a0a corporate and commercial firm or\u00a0capital markets environment.<\/p>\n
