PURPOSE STATEMENT;<\/p>\n
\tThe purpose of this role is to provide administrative and governance support to the Board, ensuring proper documentation, meeting coordination, compliance, and follow-up on Board resolutions.<\/p>\n
Duties and responsibilities will entail:
\nBoard Services<\/p>\n
\tProvide guidance to the Board on their duties and responsibilities and on matters of governance;
\n\tAssist the Board in carrying out the following: Board members\u2019 induction and training; updating the Board and Committee Charters; Board evaluation;
\n\tGovernance audit; and implementing the code of conduct and ethics;
\n\tPreparing and managing the Board annual work plans;
\n\tCoordinating preparation and circulation of Board and Committee meeting agendas and board papers;
\n\tPreparing Board Minutes, ensuring that they are confirmed and filed;
\n\tMonitoring implementation of Board decisions and preparing reports to the Board;
\n\tCustodian of Board & Committee Minutes
\n\tWork closely with the CEO to ensure the Board complies with governance practices, financial regulations, and statutory obligations in line with Authority policies and Kenyan laws.
\n\tSupport the execution of Authority documents requiring the Board of Directors\u2019 attention.
\n\tFollow up on the implementation of Board Resolutions on behalf of the CEO.<\/p>\n
\u00a0Requirements for Appointment<\/p>\n
\tA Bachelor\u2019s degree from a recognized institution; in Business Management, Law, Administration, or its equivalent.
\n\tAt least eight (12) years\u2019 work experience
\n\tProficiency in computer applications;
\n\tCertified Public Secretary (CPS) (K) will be an added advantage.
\n\tMembership in a relevant professional body and in good standing
\n\tCertificate in Leadership Course, lasting not less than four (4) weeks from a recognized institution.<\/p>\n
