Meetings<\/p>\n
\tSend meeting notices and prepare draft agenda;
\n\tSend approved agenda to members,\u00a0
\n\tCollate submissions from relevant committee members and stakeholders as per the agenda; and collating feedback for action points arising from the previous meeting.
\n\tCommunicate deadlines and reminder for submissions to committee members;\u00a0
\n\tPrepare and distribute committee packs; and also ensure that the recording as well as the teleconference facilities are ready for the meeting;\u00a0
\n\tPrepare attendance register before the meeting;
\n\tRecord proceedings of the meetings;
\n\tProduce minutes together with action points.
\n\tCirculate minutes and action points for comments and action.<\/p>\n
CIPC & Administration\u00a0<\/p>\n
\tPrepare and submit all relevant documents, returns and records to the Registrar of Companies (prepare CM forms for:- appointment and resignation of directors, registration of special resolutions, registration of allotment of shares and lodgement of Annual returns);
\n\tEnsure proper filing of statutory records;<\/p>\n
Tracking of Resolution<\/p>\n
\tMaintain a register of resolutions, oversee members\u2019 approval of round robin resolutions.<\/p>\n
Directors Fees & Expense Claim<\/p>\n
\tMaintain attendance registers;
\n\tPrepare schedules of payment;
\n\tLiaise with the internal tax department for advice on applicable tax rates;
\n\tMaintain records directors\u2019 bank account details;
\n\tEnsure timeous approval and payment of directors fees;\u00a0
\n\tProcessing of expense claims and ensuring timeous payment thereof.\u00a0
\n\tMaintenance of IRP Forms
\n\tOngoing liaison with Finance and Payroll department<\/p>\n
Online Boardbooks<\/p>\n
\tAdminister meeting packs on the Boardbooks portal
\n\tSource various submissions and upload them on the portal
\n\tManage access to the various online packs\u00a0
\n\tHandle queries from Boardbooks users
\n\tLiaise with the service provider Diligent Boardbooks for resolution of queries<\/p>\n
Travel & Accommodation<\/p>\n
\tAttend to business travel by & accommodation for departmental managers and directors
\n\tProcess travel & accommodation requisitions\u00a0
\n\tLiaison with the Group\u2019s travel agents
\n\tEnsure activation of international roaming<\/p>\n
Ad-Hoc Functions\u00a0<\/p>\n
\tPerform various functions assigned by Assistant Group Company Secretary, \u00a0Group Secretary or any other manager in relation to specific projects and other various issues from internal customers.
\n\tUpdate of director and executive contact list, mailing lists and letterheads
\n\tProviding support in all Operations\u2019 Company Secretaries: proxies, resolutions etc.
\n\tProcess orders for catering\u00a0
\n\tFilling
\n\tAttend to research of key governance trends
\n\tAttend to scheduling of directors\u2019 continuous development sessions<\/p>\n
Qualifications<\/p>\n
Education:<\/p>\n
\tAn appropriate 3 year Degree in related field academic qualification (Commerce\/Economics\/ Legal)<\/p>\n
Experience:<\/p>\n
\tMinimum 2-4 years\u2019 professional experience in the relevant field\u00a0
\n\tExperience in functions associated with a listed company.\u00a0
\n\tVery good interpersonal skills and the ability to build and maintain effective interpersonal relationships are essential.\u00a0<\/p>\n
