Job Description<\/p>\n
\tEnsure compliance of AECI and its directors with the Companies Act, King IV and JSE Listings Requirements, as well as other applicable legislation
\n\tEnsure compliance with all statutory provisions imposed by the Companies and Intellectual Property Registration Office.
\n\tEnsure the Group Company Secretary are kept abreast duties imposed by all applicable legislation
\n\tMaintain accurate statutory records for the AECI Group of Companies
\n\tEnsure properly convened shareholders\u2019 meetings
\n\tEnsure meetings are properly minutes
\n\tEnsure dividends are paid timeously
\n\tEnsure transactions are properly authorised
\n\tEnsure compliance of Trusts with the various trust deeds<\/p>\n
Qualifications & Experience<\/p>\n
\tGrade 12\/Matric
\n\tBachelor’s degree or Advanced Diploma (LLB)
\n\tPost Graduate Honours Degree or Postgraduate Diploma
\n\tRelevant certifications and Professional memberships i.e. (Institute of Chartered Secretaries, Institute of Directors, Compliance Institute of SA etc)
\n\tMinimum of 10 years statutory experience
\n\tMinimum of 5 years JSE listed company experience
\n\tAccustomed to JSE processes
\n\tAccustomed to transfer secretaries\u2019 processes
\n\tAccustomed to Companies Act and CIPC processes
\n\tAccustomed to statutory requirements
\n\tKnowledge of corporate law and corporate governance principles
\n\tDeciding and Initiating Action
\n\tLeading and Supervising
\n\tWorking with People
\n\tAdhering to Principles and Values
\n\tPresenting and Communicating Information
\n\tWriting and Reporting
\n\tPlanning and Organising
\n\tDelivering Results and Meeting Customer Expectations
\n\tFollowing Instructions and Procedures
\n\tAdapting and Responding to Change<\/p>\n
