Position Summary<\/p>\n
\tThe Legal Advisor will be responsible for managing a wide range of complex legal matters for the group across local and international jurisdictions. The ideal candidate will have a strong commercial legal background, a sharp business acumen, and a pragmatic approach to managing legal risk in a fast-paced multinational environment.<\/p>\n
Minimum Requirements<\/p>\n
\tAdmitted Attorney of the High Court.
\n\tMinimum of 5 years\u2019 post-admission legal experience, ideally within a large law firm, corporate or multinational environment.
\n\tStrong drafting and negotiation skills.
\n\tSolid knowledge of South African commercial law and familiarity with international legal frameworks.
\n\tExperience in managing legal risk, litigation, and compliance with local and global legislation.<\/p>\n
Key Responsibilities<\/p>\n
\tContract Drafting, Review s Negotiation
\n\tResponsible for the full life cycle of legal documents for the group, including but not limited to:
\n\tCommercial Agreements: Service level, distribution, joint venture, profit share, and sale agreements (business, shares, subscription).
\n\tCorporate Documents: Shareholders agreements, MOIs, deeds of adherence, resolutions.
\n\tLease and Finance Agreements: Lease agreements, loan agreements, pledge and cession agreements, guarantees, and suretyships.
\n\tIP and Confidentiality: NDAs, non-circumvent agreements, trademark matters.
\n\tInternal Compliance: Policies, terms and conditions.
\n\tLegal Risk Management
\n\tIdentify, assess, and mitigate legal risks.
\n\tLitigation Management
\n\tOversee and manage litigation and dispute resolution processes.
\n\tRegulatory Compliance s Advisory
\n\tProvide legal advice and formal opinions on:
\n\tCPA (Consumer Protection Act)
\n\tNCA (National Credit Act)
\n\tPOPIA (Protection of Personal Information Act)
\n\tCompanies Act
\n\tCompetition Act
\n\tStay current with changes in legislation and their impact on business operations.
\n\tLegal Research s Stakeholder Engagement
\n\tConduct legal research and prepare memos or reports for management and business units.
\n\tLiaise with internal departments and external advisors to support strategic and operational goals.<\/p>\n
