About the role<\/p>\n
\tWe are seeking a skilled and detail-oriented Legal Advisor to manage all legal matters within our property portfolio. In this role, you will provide expert legal advisory services, ensuring compliance with industry regulations and safeguarding the interests of both the company and our clients.<\/p>\n
What you will bring<\/p>\n
\tLLB degree.
\n\tAdmitted Attorney with a minimum of 7 years post-admission experience
\n\tExperience in corporate\/commercial law, preferably in landlord\/tenant litigation
\n\tStrong commercial legal drafting skills
\n\tA minimum of 5 years\u2019 experience in a large corporate environment with broad generalist legal knowledge
\n\tGeneral business acumen
\n\tContract management and contract drafting
\n\tNegotiation skills
\n\tLitigation experience
\n\tUnderstanding of relevant legal frameworks, including:
\n\tCompanies Act
\n\tPOPIA (Protection of Personal Information Act)
\n\tFICA (Financial Intelligence Centre Act)
\n\tPPRA (Property Practitioner\u2019s Regulatory Authority)
\n\tGeneral property and commercial legislation
\n\tStrong communication skills (written & verbal)
\n\tAnalytical thinking and problem-solving ability
\n\tClient relationship management
\n\tProductivity-driven with a strong work ethic<\/p>\n
What you will be doing:<\/p>\n
Legal Advisory & Compliance:<\/p>\n
\tProvide legal advice, guidance, and support to internal teams and clients
\n\tEnsure compliance with relevant laws and regulations in the property industry
\n\tAssist in the development of policies and procedures to manage legal risks<\/p>\n
Contract & Document Management:<\/p>\n
\tDraft, review, and vet lease agreements, utility contracts, and commercial storage agreements
\n\tPrepare and manage breach notices, letters of demand, and acknowledgment of debt agreements
\n\tOversee contract negotiations to protect the company’s interests<\/p>\n
Stakeholder & Risk Management:<\/p>\n
\tLiaise with internal teams (Portfolio Executives, Leasing Managers, Finance Managers, and Administrators)
\n\tManage relationships with external stakeholders, including clients and a panel of Attorneys
\n\tIdentify, assess, and mitigate legal risks affecting the business<\/p>\n
Litigation & Dispute Resolution:<\/p>\n
\tProvide support on landlord\/tenant litigation and other property-related legal disputes
\n\tWork with legal counsel to ensure effective resolution of legal matters<\/p>\n
Reporting & Monitoring:<\/p>\n
\tTrack and report on legal risks, compliance, and contractual obligations
\n\tMonitor industry regulations and legislative changes affecting the business
\n\tInsurance Reporting and case management:
\n\tNotify insurer of events that may give rise to possible claims and of any claims instituted
\n\tLiaise with business unit to obtain information and documentation requested from brokers in order to process notification or claim
\n\tReceive feedback and updates from insurer regarding insurance claims and discuss with business unit
\n\tLiaise with brokers to obtain advice regarding insurance clauses and the effect thereof contained in agreements
\n\tEnsure that insurance clauses in agreements are in line with insurance cover
\n\tEnsure that limitation of liability \u2013 and other clauses are not in conflict with policy wording and cover provided
\n\tCompany Secretarial:
\n\tDraft resolutions
\n\tStatutory Documentation Compliance
\n\tCorporate Legal Advising\/Assistance \/ Deals and Ad Hoc Legal Advice:
\n\tIntercompany Deals \u2013 drafting\/instructing attorneys and assist with execution and implementation of:
\n\tShareholders agreements
\n\tMOI\u2019s
\n\tSale of business agreements
\n\tSale of shares agreements
\n\tExternal Deals\/Transactions \u2013 liaise and consult with external attorneys and management to assist with review, execution and implementation of:
\n\tJV deals
\n\tPartnerships
\n\tBBBEE transactions
\n\tAffiliation Agreements
\n\tSection 197 agreements
\n\tAny other deals \/ projects
\n\tMergers and Acquisitions
\n\tReview NDA\u2019s, LOI\u2019s, and draft agreements
\n\tLiaise and consult with external attorneys and executives to assist with execution and implementation of deals<\/p>\n
Ad Hoc Legal Advice:<\/p>\n
\tAd hoc requests on legal issues
\n\tIdentifying risk
\n\tProvide ad hoc advice on legal agreements
\n\tPreparation of advice based on research
\n\tDrafting of legal view and way forward
\n\tResolving issues through correspondence, telephonic discussions, verbal advice, etc.<\/p>\n
Other: Trademarks, Fraud and Compliance:<\/p>\n
\tRegular communication \/ feedback with Attorneys
\n\tMonitor performance, based on instructions provided and output delivered
\n\tSign-off on Attorney invoices
\n\tKeep updated Trademark Register
\n\tTrademarks<\/p>\n
