The Company Secretary is responsible for enabling effective Council functioning through sound administrative, advisory, and regulatory support, while safeguarding organisational governance integrity, transparency, and accountability.<br \/>\n\tTo ensure that the organisation adheres to good corporate governance principles and complies with relevant legislation and regulatory requirements.<\/p>\n<p>Key Responsibilities:<\/p>\n<p>Governance support to the Board\/Council<\/p>\n<p>\tSupports the Board\/Council in fulfilling its fiduciary duties<br \/>\n\tEnsures the Board\/Council operates in line with its mandate, charter, and governance frameworks<br \/>\n\tFacilitates effective decision-making at the Board\/Council level<\/p>\n<p>Compliance oversight<\/p>\n<p>\tEnsures compliance with applicable laws, regulations, and governance codes (e.g., PFMA, Companies Act, King IV in South Africa)<br \/>\n\tMonitors governance-related risks and regulatory obligations<br \/>\n\tMaintains statutory records and filings and working closely with Risk and Compliance<\/p>\n<p>Board\/Council and committee administration<\/p>\n<p>\tOrganises Board\/Council and committee meetings (HR&amp;RC, ARC, etc.)<br \/>\n\tPrepares agendas in consultation with the Chairperson and CEO<br \/>\n\tCirculates accurate and timely board packs<br \/>\n\tRecords minutes and tracks resolutions and action items<\/p>\n<p>Governance advisory role<\/p>\n<p>\tAdvises the Board\/Council and Chairperson on governance matters and best practices<br \/>\n\tInterprets governance policies and regulatory requirements<br \/>\n\tEnsures decisions are properly constituted and legally sound<\/p>\n<p>Stakeholder interface (governance level)<\/p>\n<p>\tActs as a bridge between management and the Board\/Council on governance matters<br \/>\n\tCoordinates communication between Board\/Council committees and executives (not operational execution)<\/p>\n<p>Key Competencies:<\/p>\n<p>Governance and Board\/Council Support Expertise<\/p>\n<p>\tStrong understanding of corporate governance principles, Board\/Council and committee processes, and governance frameworks such as King IV and PFMA.<\/p>\n<p>Legal and Regulatory Compliance Acumen<\/p>\n<p>\tAbility to interpret and apply relevant legislation, regulations, and statutory requirements affecting public entities or companies.<\/p>\n<p>Strategic Advisory Skills<\/p>\n<p>\tCapacity to provide sound governance advice to the Board\/Council, Chairperson, and executive management on compliance, risk, and decision-making processes.<\/p>\n<p>Minute-taking and Report Writing Excellence<\/p>\n<p>\tHigh-level ability to produce accurate, concise, and professional Board\/Council and committee minutes, reports, and governance documentation.<\/p>\n<p>Stakeholder Management and Influence<\/p>\n<p>\tAbility to engage effectively with Board\/Council members, executives, regulators, and external stakeholders while maintaining independence and objectivity.<\/p>\n<p>Integrity and Ethical Judgment<\/p>\n<p>\tStrong ethical grounding with the ability to uphold confidentiality, manage conflicts of interest, and promote ethical governance practices.<\/p>\n<p>Attention to Detail and Accuracy<\/p>\n<p>\tHigh level of precision in managing statutory records, governance documentation, and compliance tracking.<\/p>\n<p>Planning and Organisational Skills<\/p>\n<p>\tAbility to coordinate Board and committee meetings, manage governance calendars, and ensure timely delivery of governance processes.<\/p>\n<p>Communication Skills (Written and Verbal)<\/p>\n<p>\tExcellent communication skills with the ability to convey complex governance matters clearly and professionally.<\/p>\n<p>Minimum Requirements:<\/p>\n<p>\tA Bachelor\u2019s Degree in Law (LLB) or equivalent relevant legal qualification.<br \/>\n\tAdmission as an Attorney or Advocate will be an added advantage.<br \/>\n\tA relevant postgraduate qualification in Corporate Governance, Company Secretarial Practice, or Public Administration will be advantageous.<br \/>\n\tChartered Governance Institute qualification (CGISA\/FCG\/GradCG) or similar recognised company secretarial certification will be highly advantageous.<br \/>\n\tA minimum of 5\u20138 years\u2019 experience in a company secretarial, governance, legal, or Board support role, preferably within a public sector entity, SOE, or regulated environment.<br \/>\n\tDemonstrated experience in Board and committee administration, including agenda setting, minute-taking, and tracking of resolutions.<br \/>\n\tProven experience in interpreting and applying governance frameworks, including PFMA, Companies Act, and King IV (or equivalent governance codes).<br \/>\n\tStrong understanding of public sector governance, compliance, and accountability frameworks.<br \/>\n\tProficiency in MS Office and
