\tCurrently we are looking for a\u00a0Legal Counsel – EPC and O&M\u00a0in Cape Town, South Africa to be part of our global team working together towards our vision \u2013\u00a0Improving our future.\u00a0
\n\tAs our Legal Counsel you will provide legal support on all EPC (Engineering, Procurement and Construction) and O&M ( Operation and Maintenance (as required) related legal and contractual matters within the Renewable Energy Sector.<\/p>\n
Main responsibilities\u00a0<\/p>\n
\tDraft and negotiate EPC\/subcontracts and O&M agreements (as required) related to renewable energy projects \u2013 solar, hydro, wind, P2X
\n\tDraft and negotiate equipment supply contracts related to renewable energy projects \u2013 solar, hydro, wind, P2X
\n\tDraft and negotiate direct agreements and performance security related to EPC\/subcontracts, equipment supply contracts and O&M agreements
\n\tReview financing loan documentation re: EPC & O&M terms
\n\tLead Compliance with regards to forced labour concerns within Scatec\u2019s supply chain and develop compliance language in\u00a0EPC\/subcontracts, equipment supply contracts and O&M agreements
\n\tReview supplier IDDs and ensure concerns raised in TEAR reports are covered in equipment supply contracts
\n\tEnsure that compliance risks are\u00a0properly managed in EPC\/subcontracts, equipment supply contracts and\u00a0O&M agreements
\n\tServe as legal rep re: all arbitrations involving\u00a0EPC\/subcontracts, equipment supply contracts and O&M agreements
\n\tLiaise with \u201cRegional Legal BD\u201d re: EPC and O&M CPs required for financing
\n\tAdvise and support \u201cVP Legal \u2013 O&M\u201d and \u201cContracts and Claims Manager\u201d in the drafting of all contractual notices for variations, claims and\/or disputes
\n\tAdvise and support Supply Chain in the drafting and managing of claims against equipment suppliers (e.g. delay and\/or performance LDs, defect and\/or serial defect claims and Force Majeure claims)
\n\tLiaise and manage relationships with\u00a0external legal counsels\u00a0 and legal counterparts at partners, suppliers, subcontractors, project\u2019s lenders (as applicable)
\n\tOwn all legal templates relating to\u00a0EPC\/subcontracts, equipment supply contracts and O&M agreements<\/p>\n
Qualifications and competencies\u00a0<\/p>\n
\tLaw degree with a focus on common law
\n\tMinimum 3-5 years\u2019\u00a0relevant work experience \u2013 either law firm or in-house counsel
\n\tCommercial drafting experience\u00a0and reviewing of documents experience
\n\tMust have experience with EPC and O&M Contracts within the renewable energy sector
\n\tExcellent English skills, both written and verbal. Additional languages considered an advantage.<\/p>\n
