Manage the legal risks affecting the Bank and ensure that they are managed and resolved as required by the law or the needs of the business. In the absence of Head of Legal and Company Secretary, serve as Legal Counsel and a resource to the Executive Team on legal matters; issues of institutional procedure; negotiating and drafting agreements; managing litigation, and as an authority on corporate governance.<br \/>\nProfessional development books<br \/>\nSummary of Key Responsibilities;<\/p>\n<p>Lead Legal department effectively and efficiently to achieve the desired performance as per Bank\u2019s guidelines.<br \/>\nEffectively monitoring and handling of all cases pertaining to Arbitration, court cases, court orders, consumer forums, other litigation\u2019s etc. Guide, more particularly, in preparing of suit applications, additional filings, plaints etc. Represent on behalf of the bank in various courts.<br \/>\nApply effective risk management techniques and offer proactive advice on possible legal issues<br \/>\nPerfection of securities for credit facilities<br \/>\nEnsure that the corporation complies with all related legislation or regulations such as investment laws, corporate laws, telecommunication laws, labor laws, intellectual property laws, and contract laws<br \/>\nCommunicate and negotiate with external parties (regulators, external counsel, public authority, etc.), creating relations of trust<br \/>\nConducting debt collection through legal action in court<br \/>\nConduct appropriate due diligence assessments with regard to company transactions.<br \/>\nReceive and act upon all court summons, pleadings and demand letters served upon the companies.<br \/>\nManage, control, and monitor instructions to and expenditure by external lawyers engaged to render legal services.<br \/>\nEnsure that the Bank is represented in court by competent advocates. Arrange, attend, and direct strategy meetings with external lawyers on how to proceed<br \/>\nAssume the role of Company Secretary for active participation in the corporate governance under the instruction of the Board of Directors in accordance with the law, Memorandum, and Articles of the Association<br \/>\nAdvising and guiding the bank\u2019s Executive Team on all matters of law<br \/>\nReviewing and providing advice to the business upon request on matters concerning applicable contracts<br \/>\nrequired for operation of their business<br \/>\nDraft and solidify agreements, contracts, and other legal documents to ensure the Bank\u2019s full legal rights<br \/>\nProvide clarification on legal language or specifications to everyone in the organization mostly the Executive team.<br \/>\nWith Head of Legal and Company Secretary, prepare all relevant documents, as directed by the Board or Law such as the annual director\u2019s report.<br \/>\nGenerate and draft contracts and agreements that are compliant with the law, are aligned to company strategy and business principles, including appropriate and required clauses, and protect the company\u2019s interests.<br \/>\nUndertake a legal review of and advise the companies regarding important legal developments, documents, agreements, policies, and procedures<br \/>\nEstablish and maintain an effective and efficient contractual management system with respect to contract drafting, reviewing, negotiation, and execution in collaboration with other departments<\/p>\n<p>Required Skills &amp;\u00a0Competencies<\/p>\n<p>Excellent Communication Skills \u2013 Written &amp; Verbal<br \/>\nExcellent Organizational Skills<br \/>\nExcellent Interpersonal SKILL;S<br \/>\nExcellent Business and Commercial Acumen<br \/>\nAttention to detail<br \/>\nMature and Ability to interact at Senior EXCO<br \/>\nGood Negotiating Skills<br \/>\nStrong skills in drafting a variety of legal documents and communicating complex issues clearly and concisely.<br \/>\nAbility to review under strict deadlines long and complex transactions and other legal document<br \/>\nHigh levels of emotional intelligence and emotional resilience to be a good team player in a diverse legal team is a requirement.<\/p>\n<p>Primary Areas of Accountability:<\/p>\n<p>Qualifications and Experience<\/p>\n<p>Bachelor of Laws Degree<br \/>\nMasters in Commercial Law will an added advantage<br \/>\nMust have a\u00a0minimum of at least ten 8-10 years experience in the banking regulatory environment or financial services sector<\/p>\n<p>Must have\u00a0proven experience in Commercial Litigation<br \/>\nWorking experience of more 5 years with\u00a0a Commercial Bank or Microfinance Institution<\/p>\n<p>Excellent understanding of corporate law practices<br \/>\nExperience in\u00a0managing Commercial transactions, Mergers and Acquisitions will be a plus<br \/>\nIn-depth\u00a0knowledge of the banking industry including the applicable regulations and guidelines and the Banking and Financial Services Act<br \/>\nExperienced in managing external senior legal counsels.<br \/>\nStrong written and oral communication skills in English<br \/>\nFamiliar with\u00a0corporate governance and assurance structures and policies<br \/>\nMust be a member of LAZ with VALID Practicing Certificate<\/p>\n<p>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0QUALIFIED &amp; EXPERIENCED FEMALES ARE ENCOURAGED TO APPLY FOR THIS POSITION<br \/>\nNote that, all communications will be kept in the strictest of confidence.
