\nTo provide strategic commercial legal support to the MTN Mobile Money Limited (\u2018the Company\u2019) and ensure the delivery of expert corporate governance and company secretarial services, in compliance with the Companies Act, Bank of Zambia requirements, international governance standards, and internal policies. To provide pragmatic, business focused legal advice on contracts, commercial engagements, product development, and vendor procurement. Oversee the contracting lifecycle, mitigate legal and regulatory risks, enable compliant monetization, and safeguard the company\u2019s interests while ensuring a best in class customer and partner support. The role safeguards the organisation\u2019s legal interests in commercial transactions and ensures that the Board and its Committees operate efficiently, transparently, and in line with statutory and governance obligations.

\na)\u00a0\u00a0\u00a0\u00a0Draft, review and negotiate commercial agreements including:
\n\u00b7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Merchant and aggregator contracts
\n\u00b7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Technology\/platform licensing contracts
\n\u00b7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0API and digital services agreements
\n\u00b7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Vendor and service-level agreements
\n\u00b7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Partnership and collaboration agreements

\nc)\u00a0\u00a0\u00a0\u00a0Provide commercial advisory on products and services to ensure compliance with payments, consumer protection, data privacy, competition, and e money regulations.
\nd)\u00a0\u00a0\u00a0\u00a0Act as a strategic business partner in developing and executing commercial strategy with forward looking legal and regulatory insights.
\ne)\u00a0\u00a0\u00a0\u00a0Create standard contract templates and commercial playbooks for standardized commercial operations.
\nf)\u00a0\u00a0\u00a0\u00a0\u00a0Manage Contract Lifecycle Management (CLM), including the digital contract repository, approval matrices, e signatures, metadata, renewal alerts, and obligation tracking.
\ng)\u00a0\u00a0\u00a0\u00a0Maintain a centralised contracts register for all contracts reviewed\/processed by the legal department
\nii)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Legal Advisory
\na)\u00a0\u00a0\u00a0\u00a0Provide day\u2011to\u2011day legal support to commercial, operational, IT, payments, finance and product development teams.
\nb)\u00a0\u00a0\u00a0\u00a0Conduct legal risk evaluations for new products, services, and commercial initiatives, and recommend mitigation measures supporting speed to market delivery.
\nc)\u00a0\u00a0\u00a0\u00a0Assess legal risks in new products, system enhancements, integrations, partnerships, promotional campaigns and tariff changes.
\nd)\u00a0\u00a0\u00a0\u00a0Manage the company\u2019s intellectual property (IP) portfolio, including trademarks, patents, and copyrights.
\ne)\u00a0\u00a0\u00a0\u00a0Proactively advise the business on legal and regulatory changes impacting operations.
\nf)\u00a0\u00a0\u00a0\u00a0\u00a0Lead pre litigation negotiations and coordinate external counsel in managing commercial disputes.
\ng)\u00a0\u00a0\u00a0\u00a0Develop litigation and dispute resolution strategies to minimize financial and reputational risk and ensure optimisation of legal costs
\nh)\u00a0\u00a0\u00a0\u00a0Design alternative dispute resolution strategies for commercially favourable outcomes.
\ni)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Maintain a litigation dashboard to track and oversee ongoing and potential litigation matters.
\nj)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Maintain a legal opinions repository and legal\u2011risk register.
\nk)\u00a0\u00a0\u00a0\u00a0Render legal counsel on issues relating but not limited to:

\nb)\u00a0\u00a0\u00a0\u00a0Coordinate preparation, review and quality assurance of EXCO papers and ensure timely circulation of EXCO packs, agendas, minutes, resolutions and briefing notes.
\nc)\u00a0\u00a0\u00a0\u00a0Drafting of minutes and action\u2011tracker for all EXCO meeting and ensure timely circulation and closure of action items.
\nd)\u00a0\u00a0\u00a0\u00a0Advise EXCO members on procedural governance requirements, decision\u2011making rules and record\u2011keeping obligations.

\n\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0i.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Grade twelve (12) Certificate with 5 credits or better including English and Mathematics;
\n\u00a0\u00a0ii.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Bachelor of Laws (LLB); Advocate of the High Court of Zambia;
\n\u00a0iii.\u00a0\u00a0\u00a0\u00a0Master\u2019s Degree in Commercial or Corporate Law will be an added advantage;
